BI Genius Terms of Service

Effective Date: January 1st 2025

1. Introduction

Welcome to B.I. Genius, a product provided by Reporting Hub Inc. ("Company," "we," "us," or "our"), a corporation registered in Alberta, Canada. These Terms of Service ("Terms") govern your use of the B.I. Genius platform ("Software"). By using the Software, you agree to be bound by these Terms. If you do not agree, do not use the Software.

2. Software Deployment and Customer Control

B.I. Genius is deployed within your Microsoft Azure environment. You have full control over the deployment, configuration, and management of the Software, including its integration with your Power BI Semantic Models and other data sources. As a result:
• We do not have access to your environment, data, or any generated insights.
• You are solely responsible for ensuring that your environment complies with security, data protection, and regulatory requirements, including applicable Canadian laws and Alberta-specific regulations.
• You are responsible for ensuring your environment is appropriately configured to prevent unauthorized access and data breaches.
• Any security or data integrity incidents arising from your use of the Software are your sole responsibility.

3. AI-Generated Content Disclaimer

The Software utilizes AI to generate insights based on the data sources you provide. You acknowledge and agree that:
• AI-generated outputs may be inaccurate, incomplete, or misleading and should not be solely relied upon.
• The Company does not verify, validate, or audit AI-generated content for accuracy or reliability.
• User Responsibility – Since the AI operates on the data sources the user configures; any incorrect or misleading outputs are the user’s responsibility.
• You assume full responsibility for interpreting and validating AI-generated insights before making business, financial, operational, or legal decisions.
• Risk Mitigation – Users should verify AI-generated insights before making decisions, particularly those with financial, legal, or operational consequences.
• The Company is not liable for any errors, misjudgments, or consequences arising from reliance on AI-generated outputs.
• AI models continue to evolve, and their outputs may vary based on updates, model improvements, or data inputs.

4. No Liability for AI-Generated Content

To the fullest extent permitted by law: • The Company disclaims any liability for damages, losses, or expenses arising from the use or reliance on AI-generated content.• The Company does not guarantee that AI-generated outputs will be appropriate, complete, or suitable for any specific purpose.• You agree to indemnify and hold the Company harmless from any claims, legal actions, or disputes related to AI-generated content and its impact on your business operations.

5. Customer Responsibilities

As the Software is deployed within your Azure environment, you are responsible for:
• Obtaining and maintaining all necessary Microsoft-related licensing required for the Software’s proper operation and integration.
• Ensuring compliance with applicable laws, including but not limited to Canadian privacy laws such as the Personal Information Protection and Electronic Documents Act (PIPEDA) and Alberta’s Personal Information Protection Act (PIPA).
• Configuring and maintaining security, access controls, and compliance frameworks to safeguard sensitive and proprietary data.
• Ensuring the integrity of data sources and governance when integrating external data sets.
• Managing user access permissions to prevent unauthorized users from accessing AI-generated insights or confidential data.

6. Intellectual Property

• The Company retains ownership of the Software, including all intellectual property rights, trademarks, patents, and proprietary technology.
• You are granted a non-exclusive, non-transferable, revocable license to use the Software within your Azure environment, solely for internal business purposes.
• You may not reverse engineer, decompile, disassemble, modify, adapt, create derivative works, or distribute the Software beyond your licensed use. Any attempt to do so is strictly prohibited and may result in legal action.

7. Limitation of Liability

To the maximum extent permitted by law:
• The Company provides the Software "as is" without warranties of any kind, express or implied.
• The Company disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• In no event shall the Company be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of the Software, including but not limited to loss of revenue, business interruption, reputational harm, or loss of data.
• Our total liability under these Terms shall not exceed the amount paid by you for the Software in the preceding twelve (12) months.

8. Termination

• Either party may terminate these Terms with 30 days written notice.
• Upon termination, you must cease using the Software and remove all instances from your Azure environment.
• Any provisions relating to liability, indemnification, intellectual property, and governing law shall survive termination.
• The Company reserves the right to terminate access to the Software if a user violates these Terms or engages in unauthorized or illegal activities using the Software.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Alberta, Canada, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the courts of Alberta.

10. Changes to Terms

We may update these Terms from time to time to reflect legal, technological, or business changes. Any changes will be posted on our website, and continued use of the Software constitutes acceptance of the updated Terms.
